Terms of Service

1. Acceptance of Terms

By accessing or using RecKeeper ("Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Age Requirement

You must be at least 13 years of age to use RecKeeper. If you're under 18, you represent that you have your parent or guardian's permission to use the Service.

2. Description of Service

RecKeeper is a recommendation tracking application that provides:

• Recommendation Tracking: Save and organize recommendations from friends, family, and your own finds
• Categorization: Organize by type (restaurants, books, movies, hotels, and more)
• Status Tracking: Track whether you've tried recommendations and how you liked them
• People Management: Keep track of who recommended what
• Cloud Sync: Synchronization across devices (requires account)

Service Availability

We strive to keep RecKeeper available at all times, but we don't guarantee uninterrupted access. We may:

• Temporarily suspend service for maintenance
• Modify or discontinue features with reasonable notice
• Limit certain features based on account tier

3. User Accounts

Account Registration

When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your password
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Security

You are responsible for:

• Keeping your password confidential
• All activities that occur under your account
• Notifying us of suspected security breaches

We will never ask for your password via email or phone.

4. Acceptable Use Policy

You May Use RecKeeper To:

• Track and organize your personal recommendations
• Rate and review places and things you've tried
• Keep notes and location data for recommendations

You May Not:

• Violate Laws: Use the Service for any illegal purpose
• Abuse the Service: Attempt to gain unauthorized access, interfere with operations, or overload our systems
• Misrepresent Identity: Impersonate others or provide false information
• Scrape or Bot: Use automated tools to access the Service without permission
• Reverse Engineer: Attempt to decompile, disassemble, or derive source code
• Resell: Commercially exploit or redistribute the Service without authorization

5. User Content

Your Content

You retain ownership of all content you create in RecKeeper, including:

• Recommendation entries and notes
• Ratings and reviews
• Contact/people data
• Location information you enter

License to Us

By using the Service, you grant us a limited, worldwide, non-exclusive license to:

• Store and process your content to provide the Service
• Create backups and ensure data reliability
• Generate aggregated, anonymized analytics to improve the Service

This license ends when you delete your content or close your account.

Content Responsibility

You are solely responsible for your content. We don't monitor user content, but we may remove content that violates these Terms.

6. Intellectual Property Rights

Our Property

RecKeeper and all related materials are owned by Yendra Digital LLC and protected by copyright, trademark, and other intellectual property laws. This includes:

• The RecKeeper name, logo, and branding
• The software, code, and algorithms
• Design, graphics, and user interface

Limited License

We grant you a limited, non-exclusive, non-transferable license to use RecKeeper for personal purposes. This license doesn't include the right to:

• Copy, modify, or create derivative works
• Sell, rent, lease, or sublicense the Service
• Remove proprietary notices or labels

7. Purchases and Payments

RecKeeper Pro

RecKeeper offers two purchase options to unlock unlimited recommendations ("RecKeeper Pro"):

• Annual Subscription: $2.99 per year (auto-renewable)
• Lifetime Purchase: $5.99 one-time (non-recurring)

Both options grant identical access to all Pro features, including unlimited recommendations.

Auto-Renewable Subscription Terms

If you choose the annual subscription:

• Payment will be charged to your Apple ID account (or Google Play account) at confirmation of purchase
• The subscription automatically renews unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price
• You can manage and cancel your subscription in your device's account settings (Apple ID or Google Play)
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription

Lifetime Purchase

The lifetime purchase is a one-time, non-recurring payment that permanently unlocks Pro features for your account.

Restore Purchases

If you reinstall RecKeeper or switch devices, you can restore your previous purchases through the Settings screen at no additional cost.

Refund Policy

• Refunds are handled by the Apple App Store or Google Play Store per their respective policies
• We do not process refunds directly
• If you experience technical issues with your purchase, contact us and we'll help resolve them

Payment Processing

Payments are processed by Apple or Google. We do not receive or store your payment information. See our Privacy Policy for details.

8. Free Tier Limitations

The free tier of RecKeeper provides core functionality with the following limitation:

• Maximum of 15 saved recommendations

To save unlimited recommendations, upgrade to RecKeeper Pro. We reserve the right to modify free tier limitations with reasonable notice.

9. Termination

Your Rights

You may terminate your account at any time through the Settings screen or by contacting us.

Our Rights

We may suspend or terminate your account if:

• You violate these Terms
• We're required to do so by law
• We discontinue the Service (with 30 days notice)

Account Deletion

You can delete your account directly in the app via Settings. Account deletion permanently removes all your data, including recommendations and contacts. This action cannot be undone.

Important: If you have an active subscription, please cancel it through your device's account settings (Apple ID or Google Play) before deleting your account. Deleting your account does not automatically cancel subscriptions managed by Apple or Google.

Effect of Termination

Upon termination:

• Your access to the Service will cease
• We'll delete your data according to our Privacy Policy
• Provisions that should survive (indemnification, disclaimers) remain in effect
• Purchases are non-refundable upon voluntary account deletion

10. Disclaimers and Limitations

Service "As Is"

RECKEEPER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy or completeness
• Warranties of uninterrupted or error-free service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YENDRA DIGITAL LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or errors
• Third-party conduct or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $10, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Yendra Digital LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of others
• Your content

12. Dispute Resolution

Informal Resolution

Before filing a claim, please contact us at admin@yendra.com to try to resolve the dispute informally.

Governing Law

These Terms are governed by the laws of the State of Nebraska, USA, without regard to conflict of law principles.

Arbitration

Any disputes that can't be resolved informally will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except:

• You may bring claims in small claims court if they qualify
• Either party may seek injunctive relief in court for intellectual property disputes

Class Action Waiver

You agree to resolve disputes individually. You may not bring claims as part of a class, consolidated, or representative action.

13. Changes to Terms

We may update these Terms from time to time. When we make changes:

• We'll update the "Last Updated" date at the top
• For material changes, we'll notify you via prominent notice in the app at least 30 days in advance
• Continued use after changes take effect constitutes acceptance
• If you don't agree to changes, you should stop using the Service

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yendra Digital LLC regarding RecKeeper.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

No Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or in connection with a merger or sale.

Force Majeure

We're not liable for delays or failures in performance due to causes beyond our reasonable control.
